Experience at Work

With over twenty years in the legal field, Andy has extensive real estate, outside general counsel and corporate law experience. He provides practical and highly effective legal guidance to help clients grow and protect their real estate portfolios and businesses.

As a real estate attorney, Andy’s practice focuses on buying, selling, exchanging, leasing, financing and managing commercial, retail, industrial and multi-family properties. He helps clients select and organize the most effective entities for ownership of properties and other real estate matters. Andy has significant experience handling purchases, sales and exchanges of retail shopping centers, stand-alone retail properties, office buildings, warehouses, manufactured home communities and multi-family properties. In addition, he handles a wide variety of leasing matters for retail, office, general commercial, restaurant and warehouse spaces.

As a business and corporate attorney, Andy acts as an advisor to closely held-businesses where he helps clients negotiate and execute business transactions such as asset and stock/membership interest acquisitions and divestitures, financing transactions, mergers and joint ventures.

With a background in finance, Andy goes the extra mile to intimately understand his clients’ daily and long-term challenges. In his capacity as outside general counsel, he advises business owners, dentists, physicians, architects, and entrepreneurs on choice of business entity and formation issues, the growth process, financing, general business and contract matters and shareholder or member disputes. His approach is thoughtful and hands-on to each of his clients’ unique needs, and he has a dependable track record of efficiently bringing deals across the finish-line.

In addition, Andy regularly drafts and negotiates a wide variety of complex contracts including asset purchase and stock agreements, shareholders’ and voting trust agreements, loan documents, operating agreements, employment and non-competition agreements, confidentiality agreements, service agreements, supply and vendor agreements.

Andy served on the Westwood Country Club Board of Governors as its Legal Advisor and Rules Chair. He was a past Board Member of Kids Under Twenty-One and COCA Associates. In addition, he was Past Vice President and Board Member for Camp for All Kids.

  • Led over 100 transactions as counsel to real estate holding company, including acquisitions, financing and lease transactions and dispositions of shopping center and big box anchored single and multi-tenant properties throughout the United States
  • Real estate counsel to regional retail eyewear/ eye care provider with over 20 store locations, regularly negotiated leases on its behalf
  • Counsel to regional bank holding company; led its acquisition of properties for development of new banking center sites in Missouri, Illinois, Texas and California
  • Counsel to national real estate company, having represented it in the acquisition of more than 50 retail shopping centers and the sale of approximately 15 properties throughout the United States
  • Counsel to family-owned real estate holding company, having represented it on numerous acquisitions, sales, tax-deferred exchanges, leasing and financing transactions involving warehouse facility, office building and retail properties
  • Counsel to developer of boat and recreational vehicle self-storage facilities

  • Represented a global food service equipment manufacturer on numerous asset purchase and stock acquisitions, both domestically and internationally
  • Counsel to national beef packaging company in the $50 million acquisition of a competitor
  • Represented seller in connection with the sale of company engaged in selling and distributing industrial parts having an enterprise value of $100 million
  • Counsel to owners of automobile dealerships; and led acquisitions and sales of several automobile dealerships
  • Counsel to national pay day lender on numerous acquisitions and general business matters
  • Represented group of investors buying a majority interest in a healthcare service company
  • Counsel to national orthodontic services supplier in connection with acquisition of distributor of orthodontic supplies
  • Counsel to national apparel manufacturer in the acquisition of assets of a competitor’s operating division
