Experience at Work

Doug focuses his practice in the areas of banking and commercial finance, closely held businesses, and commercial real estate. He represents regional and national banks across various transactional and litigation matters, including loan documentation, regulatory compliance, corporate governance, contractual arrangements, foreclosure actions, and creditor rights.

As corporate counsel, Doug provides strategic advice to companies of all sizes, advising boards of directors, officers, and shareholders on corporate governance, contractual issues, operations, and risk assessment.
In the real estate sector, Doug offers essential legal support to developers and contractors, particularly in construction-related contractual arrangements and dispute resolution.

Doug's practical approach involves crafting and structuring transactions that empower clients with a clear understanding of risks, allowing them to navigate the legal landscape with confidence.

In the Community

Doug is actively involved with the Independent Community Bankers of America and its state affiliates, which represent over 6,000 community banks nationwide. He serves on the Legislative and Regulatory Committee for the Community Bankers Association of Illinois, and in that capacity frequently meets with members of Congress, state legislators, and state and federal regulators to discuss issues important to community banks and their customers.

Doug formally served as a member of the Board of Directors of Community BancService Corporation, Inc., a non-profit that assists community banks with identifying products and services in the areas of consulting, marketing, compliance, equipment, insurance, lending, asset and liability management, and payment systems to create economy of scale and provide banks with the tools necessary to better serve consumers and businesses.

Doug formerly served as Chairman of the Venue Management Committee for Fair St. Louis, a not-for-profit organization that partners with the City of St. Louis and the National Park Service to host the annual Fourth of July celebration featuring live music, educational activities, and fireworks displays.

Doug and his wife, Amy, have four children. In his free time, Doug enjoys golf, snowboarding and traveling with his family.

  • Represented fund manager in connection with the financing and acquisition of a 250,000 square foot manufacturing/office facility in Minneapolis, Minnesota valued at approximately $33,000,000 involving a tenant-in-common ownership structure and a 1031 exchange.
  • Represented lender in connection with the due diligence and refinancing of four (4) single-tenant manufacturing facilities located in four separate States.
  • Represented fund manager in acquisition and financing of a single-tenant manufacturing facility in Colorado Springs, Colorado valued at approximately $13,500,000 and the assumption of an existing loan on the property.
  • Represented seller in the downleg sale of a $8,900,000 industrial property in St. Louis as part of a 1031 exchange.
  • Represented lender in connection with an acquisition loan for a 288-unit student housing complex valued at approximately $33,000,000 in Greenville, North Carolina.
  • Represented purchaser in the acquisition of an architectural firm focused on the design and development of facilities for higher education institutions.
  • Represented lender as part of the implementation of a 100% Employee Stock Ownership Plan (ESOP) and working capital facility for a Midwestern based electrical engineering, design and construction company.
  • Represented borrower in connection with a life insurance company loan for the acquisition of four (4) mixed-use office and retail buildings located in Denver, Colorado and  valued at approximately  $54,000,000.
  • Represented borrower in connection with the modification of an existing loan on an office building in St. Louis, Missouri.
  • Represented lender in connection with the acquisition of three office buildings as part of a reverse 1031 exchange transaction.
  • Represented fund manager in connection with the partial cash out and refinancing of a 277,000 square foot office building in Minneapolis, Minnesota.
  • Represented landowners in connection with an approximately $60,000,000 solar energy lease agreement.
  • Represented craft brewery in relation to a new markets tax credit loan to finance and support the purchase of equipment and related buildout of the brewery’s expansion for both manufacturing and retail services.
  • Represented owner in connection with the sale of a 175,000 square foot office building valued at approximately $32,500,000 in St. Louis, Missouri, as part of a 1031 exchange.
  • Represented borrower relative to the acquisition and financing of a 4-story office building in Minneapolis, Minnesota valued at approximately $21,500,000.
